Terms of Service

These Terms of Service ("Terms") are an agreement between you and Palytt Inc., a Delaware corporation ("Palytt," "we," "us"). They cover the Palytt apps for iOS and Android, palytt.com, and every related feature (together, the "Service"). They also serve as the end-user license agreement (EULA) for the Palytt apps.
Please read Section 21 carefully. It requires most disputes to be resolved through individual binding arbitration instead of in court, and it waives class actions and jury trials. You can opt out within 30 days, as explained in Section 21.8.
1. Agreeing to these Terms
By creating an account or using the Service, you agree to these Terms and to the policies they include by reference: the Privacy Policy, the Consumer Health Data Privacy Policy, the Community Guidelines, and the Copyright and DMCA Policy. If you don't agree, don't use the Service.
Changes. We may update these Terms as Palytt changes. If a change is material, we'll give you notice in the app or by email at least 14 days before it takes effect, unless the change is needed sooner for legal, safety, or security reasons or only covers a new feature. The effective date and version at the top of this page always show which Terms apply. If you keep using the Service after a change takes effect, you accept the updated Terms. If you don't, stop using the Service and delete your account. Changes to Section 21 follow the special rule in Section 21.10.
2. Who can use Palytt
To use the Service you must:
- be at least 18 years old — Palytt is for adults only, including for people who join a meetup by invite;
- live in the United States, where the Service is currently offered;
- be able to form a binding contract and not be barred from using the Service under U.S. law;
- not have been previously banned from Palytt, unless we've told you in writing that you may return; and
- not be required to register as a sex offender in any jurisdiction, because Palytt helps people meet in person.
If we learn that someone under 18 has an account, we'll close it.
3. Your account
- Give accurate information and keep it current. You may have one personal account.
- If you verify a phone number or a school (campus) email, it must be yours. Verification confirms control of that phone number or inbox — it does not confirm anyone's identity, age, or character.
- Keep your sign-in methods secure. You're responsible for activity on your account. Tell us right away at support@palytt.com if you think someone else has accessed it.
- We may reclaim or change usernames that impersonate others, infringe rights, or sit unused.
4. Your license to use Palytt
Subject to these Terms, we give you a personal, limited, non-exclusive, non-transferable, revocable license to download, install, and use the Palytt apps on devices you own or control, and to use the Service, for your own non-commercial use. App store rules also apply (see Sections 23 and 24).
You may not, and may not help anyone else to:
- copy, modify, sell, rent, sublicense, or distribute the Service, except as the Service allows;
- reverse engineer, decompile, or try to extract source code, except where the law expressly allows it;
- scrape, crawl, or bulk-collect content or data, or use bots or automated accounts, without our written permission;
- use Palytt content or data to build a competing service, dataset, or to train machine-learning models;
- probe, overload, or interfere with the Service, or bypass security, rate limits, blocks, or bans; or
- use the Service in violation of law or these Terms.
We may add, change, or remove features, and some features may be labeled beta or experimental. We don't promise that any feature will stay available.
5. Your content
"Your content" means anything you submit to the Service — photos, captions, posts, comments, ratings, lists, messages, meetup details, profile information, and similar material. You keep ownership of your content.
License you give us. You grant Palytt a worldwide, non-exclusive, royalty-free, fully paid license, which we may sublicense to our service providers and pass on to a successor as described in Section 25, to host, store, copy, process, adapt (for example, resize, crop, compress, format, translate, or generate tags and descriptions), publish, display, distribute, and promote your content within the Service, only as needed to operate, improve, secure, and promote Palytt. Your privacy settings control who can see your content. We'll ask for your permission before we use your content in paid advertising outside the Service. We don't sell your content, and we don't license it to other companies to train their AI models.
How long the license lasts. The license ends when you delete the content or your account, except: (a) for content others have already shared, re-posted, saved, or received — for example, messages you sent stay in the recipients' conversations; (b) for backup copies, which are overwritten on a rolling schedule of up to 90 days; and (c) where we must keep content to comply with law, resolve disputes, or protect safety, as explained in the Privacy Policy.
Your promises. You confirm that you own your content or have every right needed to post it and grant this license; that anyone identifiable in it has agreed to appear; and that it follows these Terms and the Community Guidelines. To the extent the law allows, you waive any moral rights in your content as needed for us to exercise this license.
We don't pre-screen everything, and we may remove or limit any content at our discretion.
6. Community rules
You must follow the Community Guidelines. Palytt has zero tolerance for objectionable content and abusive users. Among other things, you may not post or do anything that:
- is illegal, fraudulent, threatening, harassing, hateful, sexually explicit, violent, or exploitative;
- involves or sexualizes anyone under 18;
- impersonates a person, restaurant, or business, or misrepresents your affiliation;
- misstates ingredients, allergens, or dietary suitability, or is a fake or undisclosed paid review;
- shares someone's private information or location without consent, or stalks, threatens, or harms anyone you meet through Palytt;
- infringes copyright, trademark, privacy, or publicity rights; or
- is spam, a scam, malware, or an attempt to collect other users' data.
7. Reporting, blocking, and moderation
You can report posts, comments, messages, and users, and you can block users, from within the app. We review reports within 24 hours. When content breaks our rules we remove it, and we remove users who post it. Automated tools, including AI moderation, screen posts for safety. These tools and our reviewers can make mistakes. If you think we got a decision wrong, email support@palytt.com with the post or account ID and we'll take another look.
We may remove or restrict content, limit features, suspend or terminate accounts, preserve information, and contact law enforcement when we believe it's needed to protect people or the Service. We aren't required to monitor the Service, and we aren't responsible for content other people post.
8. AI features and match scores
Palytt uses artificial intelligence for features such as match scores, taste profiles, dish recommendations, Pal's notes, menu summaries, and dietary tags. Optional AI features only run after you consent, and you can withdraw that consent at any time in Settings. Some processing, such as automated safety moderation of posts, is part of operating the Service.
AI output is an automated estimate, not a fact or a promise. Match scores and recommendations are opinions about what you might enjoy; they can be wrong, incomplete, or out of date, and similar output may be given to other people. Use your own judgment, and don't rely on AI output for health, safety, legal, or financial decisions. You're responsible for how you use AI output and must not use AI features to create content that breaks these Terms.
9. Dietary and allergen information
Important for anyone with a food allergy
Dietary and allergen tags are AI estimates from menus and posts. They can be wrong or out of date. If you have an allergy, always confirm ingredients with restaurant staff before ordering.
Palytt is not a medical service and nothing in the Service is medical, nutritional, or dietary advice. Dietary, allergen, and religious-diet tags (such as gluten-free, vegan, halal, or kosher) come from AI estimates, menus, and posts by other users. They are not certifications, and restaurants can change recipes, suppliers, and preparation — including cross-contact with allergens — at any time. Always ask restaurant staff, and talk to your doctor about managing any allergy or health condition. In an emergency, call 911.
To the fullest extent the law allows, you are responsible for deciding what to order and eat, and Palytt is not responsible for any reaction or harm that results from relying on dietary or allergen information in the Service.
10. Meetups and in-person safety
Palytt helps you plan meals with friends and other people ("meetups"). Please read this section carefully.
- We don't screen users. Palytt does not run criminal background checks, verify identities, or vet the people you meet. Verified phone numbers or school emails don't mean someone is safe.
- Stay safe. Meet in public places, tell someone you trust where you'll be, arrange your own transportation, stay in control of your food and drinks, and leave if you feel uncomfortable. Never send money or financial information to someone you met through Palytt.
- Location sharing is your choice. Live location in a meetup room is optional, is visible to the people in that room, and turns off when the share ends or expires.
- Invites by text. If you invite someone by SMS, you confirm they're an adult you know who would expect to hear from you, and that you have their permission to share their number with us to send the invite. Don't use invites to message strangers or for promotions.
- Palytt isn't a party to your plans. Restaurants, reservations, bills, and payments are between you, the restaurant, and the other people involved.
Your interactions with other users, online or in person, are your responsibility. You take part in meetups and other in-person activities voluntarily and at your own risk. To the fullest extent the law allows, you release Palytt from claims arising from the conduct of other users or third parties. If you're a California resident, you waive California Civil Code section 1542, which says: "A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party." This release doesn't cover claims caused by Palytt's own gross negligence or willful misconduct.
Report unsafe behavior in the app or to support@palytt.com. If you're in danger, call 911 first.
11. Rewards, cards, and virtual items
Palytt may give you free rewards such as collectible cards, badges, streaks, points, or other virtual items for using the Service. They're free and you can't buy them today. Virtual items:
- are licensed to you, not owned by you, and have no cash or monetary value;
- can't be sold, traded, transferred, or exchanged for money or anything of value, inside or outside Palytt;
- are not a sweepstakes, lottery, or prize; and
- may be changed, rebalanced, limited, or discontinued, and end when your account ends.
If we ever offer paid features, we'll present separate terms before you buy anything.
12. Third-party services and content
Restaurant details, maps, photos, menus, and ratings come partly from third parties such as Google Places and Maps, Apple MapKit, web search providers, stock photo libraries such as Pexels, and other users. We don't control or guarantee that information, including hours, prices, menus, or availability. Restaurant names and marks belong to their owners, and a restaurant's appearance in Palytt doesn't mean it endorses or partners with us.
Palytt uses Google Maps features. By using them you also agree to the Google Maps/Google Earth Additional Terms of Service and acknowledge the Google Privacy Policy. Sign in with Apple and Google sign-in are governed by those companies' terms. Links to other sites and services are provided for convenience, and we aren't responsible for them.
13. Feedback
If you send us ideas or suggestions, we may use them without restriction or payment to you. Feedback doesn't give you any ownership in Palytt.
14. Palytt's intellectual property
The Service, including its software, design, text, graphics, the Pal mascot, and all content other than user content, belongs to Palytt Inc. or its licensors and is protected by intellectual property laws. Palytt™ and the Palytt logo are trademarks of Palytt Inc.. You may not use them, or the Pal mascot, without our written permission. We reserve all rights not expressly granted to you.
15. Copyright complaints
We respond to notices of claimed copyright infringement under the Digital Millennium Copyright Act. See our Copyright and DMCA Policy for how to send a notice or counter-notice. We terminate the accounts of repeat infringers as described in that policy.
16. Privacy
Our Privacy Policy and Consumer Health Data Privacy Policy explain how we collect, use, and share information, and the choices you have.
17. Ending your use of Palytt
You can stop using Palytt at any time and delete your account in the app or at palytt.com/delete-account.
We may suspend or end your access, with or without notice, if you break these Terms, if your use creates risk or legal exposure for Palytt or others, if the law requires it, or if we stop offering the Service. Where it's practical and safe, we'll tell you why and how to appeal. Sections that by their nature should survive — including 5 (for content already shared), 9, 10, 11, 13, 14, and 18 through 25 — survive termination.
18. Disclaimers
The Service is provided "as is" and "as available." To the fullest extent permitted by law, Palytt disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, and any warranties arising from course of dealing or usage of trade. Palytt does not warrant that the Service will be uninterrupted, secure, or error-free, or that any information — including restaurant, menu, dietary, allergen, AI, or match-score information — is accurate, complete, or current. Palytt makes no warranty about restaurants, food, other users, or meetups.
Some states don't allow the exclusion of implied warranties, so some of these exclusions may not apply to you.
19. Limitation of liability
To the fullest extent permitted by law, Palytt and its officers, directors, employees, agents, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or use, arising out of or related to these Terms or the Service, whether in contract, tort (including negligence), strict liability, or any other theory, even if advised of the possibility of such damages. Palytt's total liability for all claims arising out of or related to these Terms or the Service will not exceed the greater of one hundred U.S. dollars (US $100) or the amounts you paid Palytt in the twelve (12) months before the event giving rise to the claim.
These limits don't apply to liability that can't be limited under applicable law, such as liability for fraud, gross negligence, willful misconduct, or death or personal injury caused by our negligence where the law forbids limiting it.
20. Indemnity
To the extent the law allows, you will defend, indemnify, and hold harmless Palytt and its officers, directors, employees, and agents from any third-party claims, losses, and costs (including reasonable attorneys' fees) arising from your content, your use of the Service, your violation of these Terms or the law, or your interactions with other users, including at meetups. We may take control of the defense of any matter at our own cost, and you'll cooperate with us.
21. Dispute resolution, arbitration, and class-action waiver
21.1 Try to resolve it informally first
Most concerns can be solved quickly. Before starting arbitration or a small-claims case, you or Palytt must send the other a written notice describing the dispute and the relief requested. Send yours to legal@palytt.com, including your name, the email or phone number on your account, and a description of the issue. We'll send ours to the email on your account. For 60 days after the notice is received, we'll both try in good faith to resolve the dispute, and if either side asks, we'll hold an individual phone or video call. Deadlines to bring claims are paused during this period. This step is required before any arbitration or court case.
21.2 Agreement to arbitrate
Except as described in Section 21.3, you and Palytt agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service — including disputes about how this section is interpreted, applied, or enforced — will be resolved by final and binding individual arbitration, not in court. The Federal Arbitration Act governs this section. A court, not an arbitrator, decides disputes about Sections 21.5, 21.6, and 21.7 and whether an opt-out under 21.8 was valid.
21.3 Exceptions
Either of us may bring an individual claim in small-claims court if it qualifies and stays there. Either of us may also go to court to stop infringement or misuse of intellectual property. Nothing here stops you from reporting a concern to a government agency.
21.4 How arbitration works
The American Arbitration Association ("AAA") will administer the arbitration under its Consumer Arbitration Rules (available at adr.org), as modified by these Terms. If the AAA can't or won't administer it, the parties will agree on another provider, or a court will appoint one. Hearings may take place by video or phone, or in person in the county where you live. Fees are allocated under the AAA's consumer fee schedule, under which Palytt pays most filing, administrative, and arbitrator fees; if you show the costs you'd bear would be prohibitive compared with court, Palytt will pay as much as the arbitrator finds necessary to prevent that. The arbitrator may award the same individual relief a court could, but only for you individually and only as needed to resolve your individual claim.
21.5 Class-action and jury-trial waiver
You and Palytt may bring claims against each other only in an individual capacity, not as a plaintiff or class member in any class, collective, consolidated, or representative proceeding, and you and Palytt each waive the right to a jury trial. If this class waiver is found unenforceable for a particular claim, that claim (and only that claim) will be severed from arbitration and decided in court.
21.6 Public injunctive relief
If you seek public injunctive relief that can't be waived under applicable law, that request will be severed and decided by a court after the individual claims are arbitrated, and the court case will be paused until then.
21.7 Mass arbitration
If 25 or more similar demands are filed against Palytt by the same or coordinated counsel or organizations, the AAA's Mass Arbitration Supplementary Rules will apply, and the demands will be administered in batches of up to 100, with one arbitrator and one set of fees per batch. Deadlines to bring claims are paused for demands waiting to be batched. The parties will cooperate in good faith to carry this out.
21.8 Your 30-day right to opt out
You can opt out of this arbitration agreement by emailing legal@palytt.com with the subject "Arbitration opt-out" within 30 days after you first accept these Terms (for existing users, within 30 days after this version's effective date). Include your name, the email or phone number on your account, and a clear statement that you're opting out. Opting out doesn't affect any other part of these Terms.
21.9 Where court cases go
If a dispute is not arbitrated (because of an exception, an opt-out, or a court ruling), it will be decided in the state or federal courts located in California, and you and Palytt consent to their personal jurisdiction, unless the law gives you the right to sue where you live.
21.10 Changes to this section
If we make a material change to this Section 21, you may reject it by emailing legal@palytt.com within 30 days after the change takes effect. A change never applies to a dispute that either side has already sent notice about.
22. Governing law
These Terms are governed by the laws of the State of California, without regard to its conflict of laws rules, except that the Federal Arbitration Act governs Section 21.
23. Additional terms for the Apple App Store
If you downloaded Palytt from Apple's App Store, these terms also apply and control over anything inconsistent in these Terms:
- These Terms are between you and Palytt Inc. only, not with Apple Inc. ("Apple"). Palytt, not Apple, is solely responsible for the app and its content.
- Your license to the app is limited to a non-transferable license to use it on Apple-branded products that you own or control, as permitted by the Usage Rules in the Apple Media Services Terms and Conditions, except that the app may be accessed by other accounts associated with you through Family Sharing or volume purchasing.
- Palytt, not Apple, is solely responsible for providing maintenance and support for the app. Apple has no obligation to provide any maintenance or support services.
- Palytt is responsible for any product warranties that aren't effectively disclaimed. If the app fails to conform to an applicable warranty, you may notify Apple, and Apple will refund the purchase price, if any, for the app. To the maximum extent permitted by law, Apple has no other warranty obligation for the app, and Palytt is responsible for any other claims, losses, liabilities, damages, costs, or expenses caused by a failure to conform to a warranty.
- Palytt, not Apple, is responsible for addressing any claims by you or a third party relating to the app or your possession and use of it, including (a) product liability claims; (b) claims that the app fails to conform to any applicable legal or regulatory requirement; and (c) claims arising under consumer protection, privacy, or similar laws.
- If a third party claims that the app or your possession and use of it infringes that party's intellectual property rights, Palytt, not Apple, is solely responsible for investigating, defending, settling, and discharging the claim.
- You represent and warrant that you are not located in a country that is subject to a U.S. Government embargo or that has been designated by the U.S. Government as a "terrorist supporting" country, and that you are not listed on any U.S. Government list of prohibited or restricted parties.
- You must comply with any applicable third-party terms, such as your wireless data service agreement, when using the app.
- Questions, complaints, or claims about the app should be directed to Palytt Inc. at support@palytt.com.
- Apple and Apple's subsidiaries are third-party beneficiaries of these Terms. When you accept these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce them against you as a third-party beneficiary.
24. Additional terms for Google Play
If you downloaded Palytt from Google Play, you also agree to the Google Play Terms of Service. These Terms are between you and Palytt, not Google. Google is not responsible for the app, its content, or support.
25. General terms
- Entire agreement. These Terms, with the policies they reference, are the entire agreement between you and Palytt about the Service.
- Severability. If any part of these Terms is found unenforceable, the rest stays in effect, except as stated in Section 21.5.
- No waiver. If we don't enforce a provision right away, we haven't waived it.
- Assignment. You may not transfer these Terms or your account. We may transfer these Terms in connection with a merger, acquisition, reorganization, or sale of assets, or by operation of law.
- Events beyond our control. We aren't liable for delays or failures caused by events outside our reasonable control.
- Electronic notices. You agree to receive notices electronically, in the app or by email, and that these satisfy any requirement that they be in writing.
- Export laws. You'll comply with U.S. export control and sanctions laws when using the Service.
- No other relationship. These Terms don't create a partnership, employment, or agency relationship. Except for Apple as described in Section 23, there are no third-party beneficiaries.
- California users. Under California Civil Code section 1789.3, you may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by phone at (800) 952-5210.
